1. Acceptance of These Terms
By accessing or using https://kaispeed.com (the “Site”) or any related products or services provided by KaiSpeed Technology Co.,Ltd. (“KaiSpeed,” “we,” “us,” “our”), you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use the Site or our services.
2. Eligibility
You confirm you have the legal capacity to enter into a binding agreement under the laws of your place of residence. If you access the Site on behalf of a business, you represent that you are authorized to bind that business to these Terms.
3. Services, Quotes, and Orders
Scope. We provide manufacturing-related products and/or services globally, subject to feasibility, availability, compliance, and applicable laws.
Quotations. Prices, lead times, and other terms in quotations are estimates based on information you provide (e.g., drawings, materials, finishes, tolerances, volumes). Quotes are valid only for the period stated, or a reasonable period if not stated, and may change if inputs change.
Order acceptance. An order is accepted only when we confirm it in writing (e.g., by email). We may decline or cancel an order for reasonable cause (e.g., infeasibility, compliance risk, supply constraints). For any canceled, prepaid portion, we will refund amounts received for unfulfilled items.
Specifications & approvals. You are responsible for providing complete and correct specifications and for approving any DFM suggestions or engineering changes in writing.
Shipping, risk, and customs. Delivery terms, risk transfer, shipping methods, and any taxes/duties will be set out in our order confirmation or applicable Incoterms. Transit times are indicative only.
Taxes & charges. Prices generally exclude taxes, duties, brokerage, and other charges unless expressly stated otherwise; you are responsible for them where applicable.
No promotions/lotteries. We do not conduct promotional giveaways or lotteries.
4. User Content & Submissions
Definition. “User Content” means any text or images you submit to us or the Site, including via contact/quotation forms or other submission features (e.g., message boxes).
Your rights; limited license to us. You retain ownership of your User Content. By submitting it, you grant KaiSpeed a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, and display the User Content solely as needed to operate our Site, respond to your inquiries, perform DFM/quoting, manufacture, ship, provide customer support, improve our services, and comply with law.
Your responsibilities. You represent you have all rights required to submit User Content and that it is accurate, lawful, non-infringing, and free of harmful code. Do not include unnecessary personal or sensitive information in technical files or forms.
5. Intellectual Property (Our Content)
Ownership. The KaiSpeed name, logo, and all texts, images, graphics, icons, layouts, designs, and software on the Site are the exclusive property of KaiSpeed Technology Co.,Ltd. or our licensors and are protected by applicable intellectual property laws.
Restriction. You may not copy, reproduce, distribute, modify, translate, create derivative works from, publicly display, or otherwise use our content (including our logo and all site materials) except as strictly necessary to use the Site for its intended purpose and never for any commercial purpose without our prior written consent.
6. Acceptable Use & Prohibited Conduct
You agree not to: (a) violate laws or third-party rights; (b) submit unlawful, infringing, defamatory, obscene, or deceptive content; (c) reverse engineer or attempt to access the Site to build a competing service; (d) interfere with security or normal operations; (e) upload viruses, malware, or harmful code; (f) attempt unauthorized access to systems, accounts, or data; (g) use scrapers/robots contrary to our robots.txt; or (h) provide knowingly incomplete or false specifications.
7. Third-Party Websites & Tools
The Site may reference or link to third-party websites, tools, or services we do not control. We are not responsible for their content, policies, or practices. Use them at your own risk.
8. Confidentiality
We use commercially reasonable measures to safeguard non-public technical and business information you share for quoting/manufacturing. Mark confidential materials clearly. We can sign an NDA upon request. Avoid sending unnecessary personal data in engineering files.
9. Feedback
If you send ideas, suggestions, or proposals, you agree we may use them without restriction or obligation to you.
10. Disclaimers
As-is / as-available. The Site is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.
No guarantee. We do not guarantee the Site will be uninterrupted, secure, or error-free, or that information is accurate, complete, or up to date.
11. Limitation of Liability
To the fullest extent permitted by law:
KaiSpeed is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages; and
KaiSpeed’s aggregate liability for claims relating to the Site or services will not exceed the amounts you paid to KaiSpeed for the specific order or service giving rise to the claim during the twelve (12) months preceding the event.
12. Indemnification
You will indemnify and hold harmless KaiSpeed, its officers, employees, and agents from claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your User Content, or your misuse of the Site or services.
13. Suspension & Termination
We may suspend or terminate access to all or part of the Site (and decline or cancel orders) if we reasonably believe you breached these Terms, applicable law, or pose risk to us or others. Upon termination, your right to use the Site ceases immediately; provisions that by nature should survive (including Sections 5, 8–12, 14–16) will survive.
14. Export Controls & Sanctions
You represent you are not subject to sanctions and will not use our services in violation of export control or sanctions laws.
15. Governing Law & Dispute Resolution
Governing law: Laws of the People’s Republic of China (conflict-of-laws principles excluded).
Venue: Competent courts in Shenzhen, China, unless the parties agree otherwise in writing.
Injunctive relief: We may seek equitable/injunctive relief to protect intellectual property and confidential information.
16. Changes to These Terms
We may update these Terms periodically. The “Last updated” date shows the latest revision. Continued use of the Site after changes constitutes acceptance.

Note: Please avoid embedding unnecessary personal data within CAD/technical files or form messages.

Provide services & fulfill requests (e.g., respond to inquiries, DFM review, quotes, manufacturing, shipping, support) — Contract / Legitimate interests.
